INGLEWOOD
NEIGHBORHOOD ASSOCIATION

Section 1
- NAME
The name of the
corporation shall be Inglewood Neighborhood Association (the
"Association").
Section 2
- PURPOSE
The
Association's activities shall include, but not be limited to,
preserving the quality of, and promoting the betterment and improvement
of the quality of residential life in the Inglewood area, and promoting
communications and coordination among and between residents, other
neighborhood groups, the Metropolitan and State Governments and the
development community concerning issues affecting or relating to
residential neighborhoods, which activities constitute social welfare
purposes within the meaning of Section 501(c)(4) of the Internal Revenue
Code; to advocate and protect the health and well-being of persons
living within the community; to discourage crime and crime-related
activities and any situations that may be hazardous or unhealthy to
persons living within the community; to encourage projects that will
promote the good health, welfare and safety of persons within the
community; and to promote community involvement.
Section 3
- MEMBERSHIP; BOUNDARIES
All persons
living within the boundaries of the following-described area shall be
considered members of the Association:
Beginning at 3700
Moss Rose Drive and continuing north to McGavock Pike at the Cumberland
River; west on McGavock Pike to Fernwood Drive; south on Fernwood Drive
to Piedmont Avenue. Beginning at McGavock Pike and Riverwood Drive onto
Cooper Lane south and east to Moss Rose Drive. Beginning again at the
intersection of Cooper Lane at 2400 McGinnis Drive and continuing south
and east to Moss Rose Drive. Beginning again at the intersection of
Cooper Lane at 2300 Cooper Terrace to the dead end. Beginning again at
the intersection of Fernwood Drive,
continuing west on McGavock Pike to
Riverside Drive, north on Riverside Drive to Gallatin Road, north on
Gallatin Road to Briley Parkway, east on Briley Parkway to Brush Hill
Road, south on Brush Hill Road to McGavock Pike.
The
above-described area shall be known as the "Boundaries" of the
Association.

4 -
ANNUAL MEMBERSHIP DUES
Membership dues shall be ten dollars ($10.00) for each household.
Section 5
- PRINCIPAL AND REGISTERED OFFICES
The principal
office of the Association shall be the residence address of a member of
the Steering Committee. The registered agent of the Association shall be
a member of the Steering Committee and the registered office of the
Association shall be that person's residence address.
Section 6
- FISCAL YEAR
The fiscal year of the Association shall be the calendar year: January 1
through December 31.
Section 7
- BOARD OF DIRECTORS; STEERING COMMITTEE
The Board of Directors of the Association shall be known as the
"Steering Committee." Each Steering Committee elected shall serve a term
of one (1) year to coincide with the Association's fiscal year.
Each member of the Steering Committee must reside within the Boundaries
of the Association.
The Steering Committee shall consist of the officers of the Association
and six (6) At-Large Members.
Section 8
- GOVERNANCE
The Association shall be governed by the Steering Committee and shall
hold regular meetings at least quarterly. Regular meetings shall be
called by the President upon five (5) days' notice. The President or any
member of the Steering Committee may call special or emergency meetings
of the Steering Committee upon a minimum of one (1) day's notice.
The Association shall have monthly meetings on the first (1st)
Thursday of the month. The Steering Committee may have a need to call
for another date or to skip a month by approval of 2/3 of the Committee.
Section 9
- OFFICERS
The Officers of the Association shall consist of a President, Vice
President, Recording Secretary, a Corresponding Secretary, and a
Treasurer.
The duties shall consist of the following:
President: Will preside over meetings of the general membership and
the Steering Committee; set timed agendas for each meeting with input
from the Steering Committee; expect all Association Officers to fulfill
their assigned duties, and generally represent the Association.
First Vice President: Will work closely with the President in
furtherance of the duties of the President and share such
responsibilities as requested of the President or the Steering
Committee; and serve in the absence or disability of the President.
Recording Secretary; Will record all proceedings of the Association;
type and submit minutes of each meeting to the Steering Committee; and
assist the Steering Committee with newsletters, notices and other
communications.
Corresponding Secretary: Will manage Association communications;
maintain the Association website; and respond to e-mail correspondence.
Treasurer: Will maintain bank accounts and keep accurate records of
all financial transactions and payments from and to the Association,
including membership dues and donations.
Police Liaison: Maintain ongoing communications with police to
monitor crime activity and prevention.
At-Large Members: At-large members may be appointed as needed by
vote of the steering committee.
Section 10
- VACANCIES; REPLACEMENT OF STEERING COMMITTEE MEMBERS AND OFFICERS
If any officer or Steering Committee member misses more than three (3)
consecutive meetings, the president may request that action be taken to
replace that person. The Steering Committee shall fill a vacancy on the
Steering Committee when a vacancy arises due to death, ineligibility to
continue in office or resignation. Election of replacements shall be
made by a simple majority vote of the Steering Committee.
Section 11
- MEMBERSHIP MEETINGS; ELECTIONS
A general meeting of the membership of the Association shall be held at
least one (1) time each calendar year with an annual meeting and
election of new officers to be held in October of each. Notice of each
meeting shall be given in writing by general distribution within the
Boundaries of the Association by way of mail or hand delivery. Notices
shall include information regarding the business to be conducted at the
meeting. An attempt shall be made to insure that as many members as
possible are notified at least seven (7) days before each meeting.
A simple majority vote of the members present at each meeting shall be
required to transact the business of the Association, including the
election of the Steering Committee. No specific number of the members is
required to constitute a quorum at membership meetings.
